This Partner Master Agreement ("Agreement") governs the relationship between Straight Up Digital and its partners, including white-label clients, referral partners, and resellers. By entering into a partnership with Straight Up Digital, you agree to the terms outlined herein.
Partners are responsible for maintaining professional standards when representing Straight Up Digital services. Partners must accurately represent our capabilities and not make guarantees or promises beyond the scope of agreed services.
Both parties agree to maintain the confidentiality of proprietary information, trade secrets, pricing structures, and client data. This obligation survives the termination of the partnership.
Partner compensation, including referral fees, commissions, or wholesale pricing, will be outlined in a separate schedule attached to this Agreement. Payment terms follow our standard 14-day invoice cycle unless otherwise agreed.
During the term of this Agreement and for 12 months following termination, partners agree not to directly solicit or recruit employees or contractors of Straight Up Digital.
Either party may terminate this Agreement with 30 days written notice. All outstanding obligations and payments must be settled within 30 days of termination.
This Agreement is governed by the laws of Queensland, Australia.
